End User License Agreement & Terms of Service

Mandatory Warranty of Authorization: ProximaHub is strictly an administrative utility for local biometric attendance systems. You warrant that you are the lawful owner or authorized administrator of all hardware terminals and network subnets managed by the software. Unauthorized scanning, interrogation, or data harvesting is strictly prohibited.

1. License Grant & Subscription Seats

ProximaLink grants you (the "Licensee" or "Customer") a revocable, non-exclusive, non-transferable license to install and operate ProximaHub solely for internal business operations on authorized hardware systems. Your license is governed by the purchased device seat limits and valid subscription period.

2. Authorized Network & Equipment Warranty (Anti-Misuse Policy)

You explicitly warrant, represent, and agree that:

Lawful Authority: You are either the lawful owner of the premises, local network infrastructure, and connected biometric terminals, or have obtained explicit, verifiable written authorization from the lawful owner to administer and interrogate such networks and terminals.
Prohibition of Unauthorized Interrogation: You will never deploy, scan, discover, connect to, query, extract logs from, or modify any biometric terminal or computer system that you do not own or lack explicit written authorization to manage.
Cybercrime Compliance: Your use of the Software strictly complies with all applicable local and international computer crime statutes, including the Prevention of Electronic Crimes Act, 2016 (PECA, Pakistan), UAE Federal Decree-Law No. 34 of 2021 on Combatting Rumors and Cybercrime, and corresponding computer access laws.
Immediate Termination: Any breach of this section constitutes an incurable material breach of this Agreement, resulting in immediate revocation of all software licenses without refund and potential civil and criminal liability.

3. Third-Party Hardware Protocol & Port 4370 Notice

ProximaHub connects to third-party standalone biometric and time-attendance terminals manufactured by ZKTeco Inc. and compatible vendors via standard, publicly documented manufacturer networking protocols (typically TCP/UDP port 4370).

Default Hardware Security Notice: By factory default design of third-party hardware manufacturers, devices may listen on network port 4370 without cryptographic transport encryption and with a default communication key ("CommKey = 0"), permitting unauthenticated interrogation by any host on the same local subnet.

No Circumvention: ProximaHub functions solely as an administrative interface utilizing standard manufacturer-published commands. ProximaHub does not crack, bypass, or exploit hardware authentication safeguards. You agree that securing your local physical network (setting non-zero CommKeys on physical devices, configuring VLAN isolation, and applying firewall access controls) is your exclusive obligation.

4. Biometric Data Controller & Privacy Separation

ProximaHub operates on a local-first, on-premises architecture. All employee records, PIN numbers, punch timestamps, and biometric fingerprint or facial templates are stored solely on your physical terminals and local SQLite databases on your host machine.

ProximaLink is never a data controller or data processor of your employee biometric or attendance data. You are the sole Data Controller and warrant that you have provided all mandatory employee privacy disclosures and obtained all legally required written employee consents before collecting or processing biometric data.

5. Indemnification & Hold Harmless

You agree to indemnify, defend, and hold harmless ProximaLink, its developers, officers, and contractors against any and all claims, liabilities, lawsuits, regulatory fines, and legal costs (including reasonable attorneys' fees) arising from: (a) unauthorized deployment or access to devices or networks; (b) claims by employees or authorities concerning biometric data privacy or labor disputes; or (c) network misconfiguration and unauthorized local subnet access.

6. Limitation of Liability & Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. PROXIMALINK DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

To the maximum extent permitted by law, ProximaLink shall not be liable for any indirect, incidental, consequential, or punitive damages (including data loss, payroll errors, or business interruption). ProximaLink's total aggregate liability shall not exceed the license fees paid in the three (3) months preceding the claim.

7. Governing Law & Jurisdiction

This Agreement is governed by the laws of the Islamic Republic of Pakistan. Any legal disputes shall be subject exclusively to the jurisdiction of the competent courts of Karachi, Sindh, Pakistan.
